BSF Enterprise enters commercial partnership with SCHAKAU
BSF Enterprise PLC on Monday said it has entered into heads of terms with SCHAKAU Managementberatung GmbH to establish a strategic partnership.
BSF, the London-based tissue engineering company, said the partnership establishes a framework to turn its technology into high-value commercial opportunities.
The partnership will focus on the commercialisation of BSF's lab-grown leather portfolio, including its T-Rex Leather concept, as well as the use of its bioengineered human skin equivalents and biological interface materials in humanoid and industrial robotics.
BSF will retain 100% ownership of its underlying intellectual property, including patents, scaffolds, trade secrets and cell-manufacturing workflows.
SCHAKAU will have exclusivity over opportunities it introduces and that are accepted under the heads of terms, subject to protections for BSF's existing relationships. The partnership will also provide access to European luxury vehicle manufacturers and automotive engineering programmes, targeting bespoke interior trim and accents for individual vehicles.
Capital introduced by SCHAKAU will be subject to a success fee of 5% on the first £10 million, 4% on amounts between £10 million and £25 million, 3% between £25 million and £50 million, and 2% above £50 million. The fee will be payable in cash or shares on completion.
Chief Executive Officer Che Connon said: "This strategic partnership represents a significant step in converting our platform science into high-value commercial channels. Entering the ultra-luxury automotive sector gives us direct communication with decision-makers who define luxury craftsmanship, allowing us to commercialise our lab-grown leather in bespoke vehicle programs."
The heads of terms target binding memorandums of understanding for lab-grown leather development or licensing and robotics skin development between September 2026 and January 2027.
Shares in BSF jumped 12% to 1.29 pence on Monday afternoon in London.
