Kingspan buys BMC Manufacturing Group for an initial EUR850 million
Kingspan Group PLC on Tuesday announced the acquisition of BMC Manufacturing Group for an initial EUR850 million.
BMC is a fast-growing power management systems business, which designs, engineers and manufactures low voltage switchgear and critical power management solutions for the data centre industry.
It currently operates from four facilities based in Ireland with plans to rapidly expand into the US.
Kingscourt, Ireland-based building materials supplier Kingspan said the acquisition is highly complementary to Advnsys' existing Data Solutions offering, "substantially increasing our potential wallet share".
Kingspan will pay an initial EUR850 million on a debt-free cash-free basis, plus potential deferred consideration of up to a further EUR50 million contingent on achievement of significant profit targets.
The initial consideration will be satisfied by EUR600 million in cash plus the issue of EUR250 million new shares in Kingspan.
BMC's 2026 forecast revenue is around EUR280 million with forecast earnings before interest, tax, depreciation and amortisation of around EUR90 million for the same period. An Ebitda of around EUR180 million is anticipated for 2027.
The acquisition is conditional on regulatory clearance, and is expected to complete in the fourth quarter 2026.
The cash consideration will be fully funded from Kingspan's existing credit facilities.
Kingspan closed up 1.3% at EUR96.50 in Dublin on Tuesday.
