Sealand Capital Galaxy agrees to buy Asian consultant Brilliant Glow

Sealand Capital Galaxy Ltd shares rose on Wednesday after it said it agreed to buy Hong Kong-based consulting services firm Brilliant Glow Group Co Ltd for £6.6 million.

The Asia-focused digital investment company said Brilliant Glow owns Shenzhen Brilliant Glow Consulting Services Co Ltd, or BGG, as its wholly owned subsidiary. It advises small and medium-size enterprises across a range of industries in the Asia Pacific region.

The firm has a particular focus on southeast Asian markets, with a team of 10 professionals based in Shenzhen and Hong Kong.

"The board believes that the acquisition is aligned with Sealand's strategy to broaden its APAC-focused consulting and technology-enabled service capabilities," Sealand Capital said.

A refundable cash deposit of £2.0 million was paid to the seller in March, while the remaining balance of £4.6 million is payable by the first anniversary of completion.

The settlement is payable in cash or shares.

Under the agreement, BGG has provided a performance commitment for the two-year period after commitment. It is required to achieve cumulative operating revenue of at least £2.0 million, or the full realisation of equity awards, in its clients' shares, under the project contracts listed in the agreement.

If neither condition is satisfied, Sealand has the right to require the seller to repurchase BGG for 110% of the consideration paid by Sealand.

In 2025, BGG reported revenue of HKD935,604, around £89,000, with pretax profit of HKD129,073.

Sealand Chief Executive Officer Siqi Cao said: "The acquisition of BGG strengthens Sealand's capabilities across digital transformation, technology services, retail solutions and capital markets consulting. BGG brings professional expertise, client relationships and cross-regional resources which we believe will support Sealand's development in the APAC market."

Shares in Sealand Capital were up 12% at 0.25 pence on Wednesday afternoon in London.
