TRADING UPDATES: Evoke shareholders agree Bally's Intralot takeover

The following is a round-up of updates by London-listed companies, issued on Monday and not separately reported by Alliance News:

Evoke PLC - Gibraltar-based owner of sports betting and gambling platforms William Hill and 888 - Shareholders approve Bally's Intralot SA's recommended all-share acquisition of the company by way of a court-sanctioned scheme of arrangement. At the court meeting, 99.91% of shares vote in support of the scheme, while 99.63% of votes cast backed the resolution at the general meeting. Court sanction is expected in the fourth quarter of 2026 or first quarter of 2027, subject to the remaining conditions, including regulatory approvals. Evoke in June agreed to a £243 million takeover offer from Bally's Intralot. The offer will see Evoke investors receive 0.537 of a new Intralot share for each Evoke share, with the new shares being listed on Euronext Athens, valuing Evoke at 52p per share.

US Solar Fund PLC - London-based renewable energy fund focused on utility-scale power plants in North America - Extends the exclusivity period for its proposed sale of USF Holding Corp in order to finalise tax analysis related to the transaction, negotiate definitive documentation and complete outstanding due diligence. The identity of the buyer and further details of the potential transaction are not public. Says there can be no certainty that a final deal will be agreed.

Atome PLC - Leeds, England-based green fertiliser project developer - Updates on the power purchase agreement for the Villeta Project in Paraguay. Says the president of state electricity adminsitration ANDE has resigned and been replaced. Secondly, the president of Paraguay has created a working group to reassess key aspects of ANDE with a view to establishing certain new tariff regimes to attract investments as well creating a new Ministry of Energy and a regulatory body. Additionally, says the new president of ANDE sees significant new demand for power and has published a list of prospective power consumers, which mainly comprises AI and data centres. "ATOME does not feature in that list as it is already considered by ANDE as an existing customer with a signed PPA for 145 megawatts of agreed and reserved power with Villeta's power requirement incorporated as part of ANDE's own power plans and projections through 2050," company says. Agrees with ANDE to conclude a new PPA that would include internationally recognised institutional investment provisions as well as the new tariff structure. Expects to provide the market with a further update by the end of August.

Andrada Mining Ltd - tin and tantalum producer in Namibia - Subsidiary Uis Tin Mining Company (Pty) Ltd executes definitive agreements for loan facilities totalling NAD98 million, about £4.4 million, with Bank Windhoek Ltd and the Development Bank of Namibia Ltd. The 10-year loan facilities comprise two equal NAD49 million tranches. The loan facilities complete UTMC's funding requirements for the planned operational upgrades at the Uis Mine and enable it to progress the ore-sorting expansion into execution. "The strengthening of the collaboration with two of Namibia's leading financial institutions, has enabled Andrada to complete the funding required to materially de-risk the delivery of the Uis ore-sorting expansion. The company can now continue to move decisively into project execution mode to further unlock the mine's operational and cash-generating potential through increased throughput and processing efficiency. The appointment of two well-known engineering firms to fabricate and execute on this project, has enabled the early work required, to meet the project delivery timelines," says Chief Executive Officer Anthony Viljoen.

Total Graphite PLC - specialist flake graphite supplier, formerly called Tirupati Graphite PLC - Provides drilling results from the Madagascar Optimisation Programme started in July. Says initial drilling at the highly prospective Tarandava Block within the Vatomina Mining Licence returns encouraging near-surface graphite mineralisation, including a peak individual assay of 18.62% total graphitic carbon. "The programme forms part of the company's wider Vatomina optimisation strategy, which is focused on improving geological confidence, strengthening near-term mine planning and progressively evaluating the wider mineral potential surrounding the company's existing mining and processing infrastructure," company says. Drills 587 metres across 17 boreholes in saprolite and weathered material at the Tarandava Block, an expanding area of approximately 1.16 square kilometres, with graphite mineralisation intersected across the programme. Hole VAT-DD26-015 returns 6.5 metres at 9.44% TGC from 15.5 metres down hole, including 5.0 metres at 11.30% TGC from 16.0 metres and a peak individual one-metre assay of 18.62% TGC from 19.0 metres. Hole VAT-DD26-009 returns 5.0m at 6.83% TGC from 6.0m down hole, including 4.0m at 7.89% TGC from 7.0m and individual assays of up to 9.91% TGC. Carbon content ranges from 2.1% TGC to 18.62%TGC with graphite rich bands identified with an average thickness of 5m to 20m. The next phase of drilling is expected to focus on the Old Mine, Old Mine Extension and BK6 areas, aiming to increase confidence in known mineralisation and support the near-term Vatomina mine plan. The current optimisation drilling programme is expected to continue through the fourth quarter of 2026, with further drilling planned thereafter as part of the company's longer-term programme to develop the Vatomina resource base.

Unicorn Mineral Resources PLC - explorer for copper, lead, zinc and silver in Irish midlands - Signs and executes the final legal documentation for the £1.3 million unsecured loan facility with Electro Automation (Group) Ltd, a company controlled by Chair Paddy Doherty. "The execution of the definitive loan agreement by all parties marks a major milestone for the company, securing the capital necessary to complete and advance the proposed Klein Aub Copper Mine acquisition and initial development plans and further highlights the continued, deep support of its Chairman," Unicorn says. The debt funds will fund the next stage of the work programs at the Klein Aub Copper Mine, alongside supporting the Unicorn's associated working capital requirements and general operational expenditures.

First Class Metals PLC - Ontario, Canada-focused gold and critical metals explorer - Submits an application to OTC Markets Group for the company's ordinary shares to be quoted on the OTCID basic market as an international reporting company. Says the quotation process is likely to complete within six to eight weeks, subject to final approval by the OTC markets. "The OTCID quotation is expected to provide improved access to trading in the company's shares for investors in the United States of America and further enhance the Company's visibility within a key investor market," First Class says. Chair James Knowles says: "The strong level of interest generated following our recent strategic corporate transaction has highlighted the importance of broadening access to the company's shares for North American investors. With our portfolio of gold and critical metals projects located in Ontario, Canada, an OTCID listing is a logical next step that will make it easier for North American investors to invest in First Class Metals and increase our profile in a key market. We look forward to updating the market on the progress of our application in due course."

Manolete Partners PLC - Buckinghamshire, England-based insolvency litigation financing firm - Announces the successful completion of a large case in July, with a £3.43 million settlement payment received in the same month. Comments: "The case completion announced today demonstrates the value Manolete brings to insolvency estates and the efficacy of the Manolete model to deliver specialist finance and litigation expertise. Following assignment of the claims, Manolete undertook investigation and analysis of the claims. Urgent action was taken to preserve assets and proceedings were issued in the High Court. By purchasing the claim, financing the litigation, obtaining asset preservation measures and pursuing recovery through the courts, Manolete converted a complex and potentially high-risk insolvency claim that could otherwise have remained dormant into a multi-million-pound recovery. The insolvency practitioner was able to realise value from the claim without committing estate funds to lengthy and expensive litigation, ultimately improving the prospects of returns to creditors."

Mila Resources PLC - gold exploration firm focused on Australia - Updates on its exploration programme across its 100% owned gold and copper portfolio in Queensland, Australia. Says its 1,400-metre drilling campaign in Queensland is now underway. The new phase builds on the 5,000 metres of drilling completed to date at the Yarrol Gold Project. Says drilling to date has confirmed the scale and continuity of the gold system at Yarrol and demonstrates that mineralisation remains open in multiple directions. Executive director Mark Stephenson says: "Investors can look forward to a busy period of news flow as assay results come through in the weeks ahead and as we continue our pre-resource evaluation and preliminary economic phases at Yarrol, with the objective of delivering a commercially and technically compelling development prospect over the coming months."

Caledonian Holdings PLC - Bingley, England-based investment company focused on financial services - Updates on the application for admission of 49.0 million new shares, following its placing and subscription. Says shares will now be admitted to trading in two tranches. 9.0 million shares, comprising 3.0 million subscription shares and 6.0 million placing shares, will begin trading on or around August 19. The balance of 40 million placing shares will begin trading on or around August 27. All the shares had been expected to begin trading on or around August 18.
