TRADING UPDATES: Hilton Food, Pinewood complete transaction

The following is a round-up of updates by London-listed companies, issued on Friday and not separately reported by Alliance News:

Intertek Group PLC - London-based assurance, inspection, product testing and certification provider - Updates on acquisition by Isotope Bidco Ltd, which is indirectly owned by EQT Fund Management Sarl. In June, Intertek backed a recommended final cash offer of £60 per share, valuing the company at £9.40 billion. Says Isotope's acquisition financing vehicle Isotope Finco Sarl and certain subsidiaries enter into a senior facilities agreement comprising term loans of EUR1.57 billion, AUD350.0 million and USD2.72 billion. Isotope Finco Sarl and Isotope Finco 2 LLC also co-issue EUR435.0 million and USD700.0 million of senior secured fixed-rate notes, respectively.

Hilton Food Group PLC - Huntingdon, England-based food packaging - Completes sale of Dalco Food BV to Livekindly Production NL BV. In July, agreed to sell Dutch vegan and vegetarian foods business Dalco to Livekindly for total consideration of £5.4 million. At the time, says the deal is in line with its strategy to focus investment on and drive growth from its core meat and fresh prepared food businesses.

Costain Group PLC- London-based infrastructure solutions company - Updates on conversations with its largest shareholder which approved an approved resolution at its annual general meeting in May to permit the company to make political donations or expenditure. Says the discussions indicate that the shareholders' voting position reflected its "general policy position on political donations/expenditure, rather than any concerns regarding the company." Comments: "Consistent with the approach adopted by many UK listed companies, Costain intends to continue seeking annual renewal of this authority as a precautionary measure. This is because the very broad definitions of 'political donations' and 'political expenditure' under the Companies Act 2006 may capture certain routine business activities that would not ordinarily be regarded as political in nature. The Company's policy is, and continues to be, to not make political donations or to incur political expenditure."

Pinewood Technologies Group PLC - Birmingham, England-based software provider for automotive sellers - Takeover by UK Piston Bidco Ltd, indirectly owned by Ridgeview Partners LLC and associated entities, becomes effective. Pinewood agreed to the 448 pence per share offer, which values it at approximately £545 million, in August.
